Most human service organizations are structured as tax exempt nonprofit corporations. It is imperative for organization managers, executives, board members and community organizers to understand the legal requirements for this type of social enterprise organization. The course will cover state and federal rules which apply to establishing a nonprofit corporation, obtaining tax exempt status, governance, fund raising, conflict of interest, political activities and lobbing, excess benefit transactions, executive compensation, private inurement, and disclosure, as well as licensure and reporting requirements. The course will also explore alternative forms of organization for social enterprise such as for profit corporations, unincorporated associations, limited liability companies, hybrid organizations, cooperatives, and multi-corporate structures.
